This creative and original book is designed for use in three ways. It can supplement a traditional Secured Transactions text with skills training exercises, be used as the text for a 1-credit drafting workshop added on to a doctrinal commercial law class, and also as the text for a 2 or 3 credit contract drafting course. The ten user-friendly exercises are modular so that professors can assign one or two exercises a semester to gradually make their classes comply with ABA requirements for transition to practice credits as well as formative and summative assessments. Students work in teams to negotiate and draft core documents that memorialize a secured transaction, starting with a promissory note, and continuing on to a financing statement and security agreement. In a 2 or 3-credit drafting course or workshop, students could also negotiate and draft a personal guaranty, perfect a security interest in a delivery truck and fixtures, balance ethical requirements of client confidentiality with truthfulness, and compile a portfolio of the documents with a cover letter to the client. Each exercise requires only fifteen to thirty minutes of class time and one to two hours on homework assignments that have students identify the anatomical parts of a contract (preamble, recitals, words of agreement, etc.), fill in a template promissory note with the parties' names, principal amount, interest rate, and signature blocks, and edit a template security agreement to conform it to the terms of the students' negotiated agreement. Each drafting exercise contains a template that students edit, and the text includes instructions for negotiation exercises.

A tantalizing tale of a legendary knight and a headstrong lady whose daring quest for a mysterious crystal will draw them into a whirlwind of treachery–and desire. When the fearsome knight called Hugh the Relentless swept into Lingwood Manor like a storm, everyone cowered–except Lady Alice. Sharp-tongued and unrepentant, the flame haired beauty believed Sir Hugh was not someone to dread but the answer to her dreams. She knew he had come for the dazzling green crystal, knew he would be displeased to find that it was no longer in her possession. Yet Alice had a proposition for the dark and forbidding knight: In return for a dowry that would free Alice and her brother from their uncle's grasp, she would lend her powers of detection to his warrior's skills and together they would recover his treasured stone. But even as Hugh accepted her terms, he added a condition of his own: Lady Alice must agree to a temporary betrothal–one that would soon draw her deep into Hugh's great stone fortress, and into a battle that could threaten their lives...and their only chance at love. The Anarchist Cookbook will shock, it will disturb, it will provoke. It places in historical perspective an era when "Turn on, Burn down, Blow up" are revolutionary slogans of the day. Says the author" "This book... is not written for the members of fringe political groups, such as the Weatherman, or The Minutemen. Those radical groups don't need this book. They already know everything that's in here. If the real people of America, the silent majority, are going to survive, they must educate themselves. That is the purpose of this book." In what the author considers a survival guide, there is explicit information on the uses and effects of drugs, ranging from pot to heroin to peanuts. There i detailed advice concerning electronics, sabotage, and surveillance, with data on everything from bugs to scramblers. There is a comprehensive chapter on natural, non-lethal, and lethal weapons, running the gamut from cattle prods to sub-machine guns to bows and arrows.

Sales Leases And Electronic Commerce

The fourth edition continues the goal of earlier editions: providing the most current and comprehensive treatment of the modern law of sales and leases in national and international transactions. The new edition includes important new cases to elaborate the continuing development of critical provisions of that law, and to elucidate new case law trends. The official withdrawal of proposed amendments to UCC Articles 2 and 2A provided room for these important cases without a significant increase in the size of the volume. While continuing to emphasize any significant differences between Articles 2 and 2A, the new edition eliminates separate coverage of Article 2A where its provisions replicate Article 2. At the same time, the important distinction between true leases and secured transactions disguised as leases not only continues but is emphasized in new case and text material. Among other current developments, the fourth edition recognizes the Supreme Court's important elaboration of the Federal Arbitration Act and its effect on the holdings and rationales of state courts in adjudicating claims of unconscionable arbitration agreements. The unique CISG coverage of prior editions has been updated, along with the text material throughout the volume, to provide the most current dimensions of sales law.
