The Convention on the International Sale of Goods is one of the most successful attempts to unify parts of the law of international commerce. The Convention is now in force in more than 60 states, and there are thousands of decisions by courts and arbitral tribunals that apply the rules of theConvention, numerous books and innumerable contributions by scholars and practitioners on the Convention and its various topics and problems. Moreover, the CISG has had a great influence on modern domestic laws, such as the Scandinavian Sales Law, the Netherlands Wetboek, the Commercial Code ofCzechia, the new German Law of Obligations and the new codifications in former Socialist states as well as on projects to unify the law, for example the UNIDROIT Principles for International Commercial Contracts and the European Principles of Contract Law. This is the second edition of the Commentary on the UN Convention on the International Sale of Goods (CISG), first published in 1998. It is based on a broad comparative analysis of decisions and scholarly contributions from all states which has enacted the Convention. The contributors to this book, all being experts in their respective fields, based their analysis on the conviction that in order to do justice to the directive of Art. 7(1) CISG that "in the interpretation of this Convention regard is to be had to its international character and to the need to promote uniformity in itsapplication", understanding and interpretation of the Convention in the light of one domestic legal system alone would be inadequate, and that, therefore, it were required to closely follow, report and compare judicial and scholarly views from all jurisdictions accessible to the contributors. Thefirst edition of this Commentary has become an important source for the reading and explanation of the Convention, and it is frequently cited by legal writers, courts and tribunals from all over the world.

The book is mainly intended to be used in teaching, but it can also help practitioners to understand the structure and basic solutions of sales law issues encoded in the CISG.

Présentation de l'éditeur : "To make the commentary as user-friendly as possible the comments on each article follow the same structure. The first part (I) gives a short overview on the content of the article, its drafting history and its role in the context of the CISG where appropriate. The second part (II) contains the detailed commentary of the article while the third part (III) contains references to comparable rules in other legal instruments which may be useful in interpreting and applying the article There is wealth of resources relating to the CISG. We have made every effort to ensure that all major authorities are referred to, but in a fashion which keeps the book in a manageable size and points the user to readily available online resources. In particular: Often cited sources are listed in the abbreviated bibliography section and hence in the commentary only the names of the authors and short titles are listed in the footnotes; moreover, whenever articles are also available through the Pace University Albert H Kritzer CISG Database (www.cisg.law.pace.edu) we have indicated that through the following reference: (Pace) We do not use the full citation of judicial decisions or arbitration awards where there is a freely accessible online publication of the same: in such cases, we refer wherever appropriate to the case with the number provided by the CISG Online database maintained by the Global Sales Law project of the University of Basel (http://www.globalsaleslaw.org/index.cfm?pageID=28) and indicate if an English translation of the case exists on the Pace University Albert H Kritzer CISG Database (www.cisg.law.pace.edu) by the reference: (Pace). Full texts and English translations (typically through the Queen Mary Translation Programme) are readily available on these free access databases. As both of them are very user-friendly and cases can easily be retrieved by the date of the decisions, we have refrained from giving the exact web-address for every case."

Today, international sales contracts are frequently governed by the 1980 UN Convention on the International Sale of Goods (CISG). The CISG is in force in more than 60 states all over world â?? both industrial nations and developing countries. It has been widely applied in international commercial transactions in the past twenty years. More than 1,700 decisions by state courts and arbitral tribunals have been reported so far. In short, the CISG has been one of the success stories in the field of the international unification of private law. The authors introduce the reader to the mechanics of that highly successful Convention by describing and analyzing the areas that the Convention covers, in particular its scope of application, the rules on the formation of contract, and the actual sales provisions. The book is primarily aimed at students, academics, and practitioners who have not yet studied the Convention in detail. From a comparative perspective, the book will be of particular interest as it combines a civil law view and a common law view on the CISG.

Written for international trade lawyers, practitioners and students from common and civil law countries, this casebook is an excellent starting point for learning about the CISG, providing an article-by-article analysis of the Convention. The commentary on each article is accompanied by extracts from cases and associated comparative materials, as well as references to important trade usages such as the INCOTERMS® 2010. The book features a selection of the most significant cases, each of which has been abridged to enable the reader to focus on its essential features and the relevant questions arising from it. The case extracts are accompanied by a comprehensive overview of parallel provisions in other international instruments, uniform projects and domestic laws. The analyses, cases, texts and questions are intended to aid readers in their comparative law and international sales law studies. They are designed to draw attention to the particular issues surrounding specific CISG provisions and to provoke careful consideration of possible solutions. The book is a reference work as well as an introduction to the individual problem areas. In particular, it acts as a preparatory work for the Willem C Vis International Commercial Arbitration Moot. The inclusion of sample questions and answers also makes it particularly helpful for self-study purposes.

Damages Under the Convention on Contracts for the International Sale of Goods, Second Edition presents a practical and detailed analysis of the methods used to determine and calculate damages under the United Nations Convention on Contracts for the International Sale of Goods (CISG). Incorporating both worldwide judicial and arbitral decisions, Damages Under the CISG, Second Edition, is a unique and comprehensive guide to fully understanding this important area of law. It provides authoritative guidance on the differences that exist between uniform international instruments and domestic laws and offers comparative analysis of the calculation of damages under the civil and common law systems. The fault system and causation principle are compared with the foreseeability principle, one of the key considerations under Article 74 of the CISG. Where applicable to understanding damages issues, the UNIDROIT Principles and the Principles of European Contract Law are referenced in depth. These principles have been updated and the information revamped for the second edition, as well as additional information on fundamental breach of contract.

Although the 1980 United Nations Convention on Contracts for the International Sale of Goods (CISG) is one of the most successful international conventions to date, it remains the case that those involved in the international sale of goods must refer to a multitude of laws. Indeed the CISG itself does not cover all issues relating to international sales contracts, so it must necessarily be supplemented by domestic law. Global Sales and Contract Law provides a truly comparative analysis of domestic laws in over sixty countries so as to deliver a global view of domestic and international sales law. The book reports on the real practice of sales law, taking into account present day problems. Complex questions on the obligations under a sales contract, the ways in which these are established, as well as the remedies following the breach of obligations, are all discussed. By addressing regional uniform projects, like OHADA, and comparing differences in domestic legal approach where the CISG would not apply, the work goes beyond existing commentaries which tend to focus only on the CISG. The analysis has been based on an unprecedented survey drawn from the world's top fifty companies as well as international traders, lawyers advising international traders, arbitral institutions, arbitrators, and law schools. This work encompasses all aspects of a sale of goods transaction and takes a wide view of sale by including general contract law. The book gives practitioners invaluable insight into judicial trends and possible solutions in different legal systems, whether preparing for litigation or drafting an international contract. Global Sales and Contract Law is the most comprehensive and thorough compilation of legal analysis in the field of the sale of goods and is a reliable source for any practitioner dealing in international commerce.

În explicit recognition of Professor Honnold's unique understanding of the Convention's development and the issues that occupied those who drafted and finalized the text, the substantial new textual material incorporated into this new edition is set in bold italics, allowing the reader to distinguish the work of the editor from text preserved from earlier editions, and thus identifying the material that carries Professor Honnold's special authority. Over three decades Professor Honnold's almost intuitive grasp of the instrument has guided governments, tribunals, scholars and practitioners towards an enlightened international understanding of the treaty. This new edition provides tribunals, practitioners, and scholars with even more invaluable insights into the meaning of each article of the Convention.
