Dann wäre eine Rückforderung der gewährten Beihilfe gegenüber dem Erwerber ausgeschlossen. Wird durch die Zahlung eines solchen Kaufpreises die Wettbewerbsverzerrung perpetuiert und damit die Kommissions -entscheidung und deren Effektivität umgangen? Oder reicht der Beihilfen(-erst)empfänger als alleiniger Rückforderungsschuldner aus, da sich der Vorteil immer noch in seinem Vermögen widerspiegelt?Derjenige Rechtsträger, der seine wesentlichen Vermögensbestandteile oder einzelne Betriebseinheiten veräußert, wird aber auch dann nicht von der Rückforderung frei, wenn der Erwerber hierfür einen marktgerechten Kaufpreis gezahlt hat. Im Umkehrschluss bedeutet dies, dass der Erwerber nicht als Rückforderungsadressat herangezogen werden kann. Durch die Zahlung eines entsprechenden Kaufpreises wird damit der vormalige Vermögensvorteil des Unternehmens als Beihilfen(-erst)empfänger ausgeglichen, wodurch ein weiterfolgender Wettbewerbsvorteil bei dem Erwerber nicht mehr entstehen kann. Auch kann in Zukunft ein Verkaufsverfahren mit mindestens zwei konkurrierenden Unternehmen ausreichen, um einen solchen marktgerechten Kaufpreis zu erzielen.Die Arbeit diskutiert abschließend Gestaltungsmöglichkeiten im Bereich des Unternehmenskaufs bezogen auf ein zweistufiges Schutzsystem für den Erwerber.
